Securitize Corp. listed on the NYSE on July 2, 2026, and proceeded to fall roughly 45% from its opening trade to a low near $6 within three weeks. Arca’s Jeff Dorman said the move appears driven more by SPAC mechanics than deteriorating fundamentals. That is worth taking seriously. When a SPAC backed company debuts, the deal holders who held through the vote but have no conviction on the underlying business sell into any strength. The fundamentals did not change. The shareholder base did. The first quarterly earnings report as a public company is due August 13, 2026. That is 13 days away, and it is the moment the story either has to hold up on its own or it does not.
Securitize builds and operates the regulated infrastructure that lets institutional asset managers put financial assets on blockchain networks. It has built a regulated stack that includes SEC registered broker dealer, transfer agent, fund administrator, and ATS operator roles in the U.S., plus authorization under the EU DLT Pilot Regime in Europe. In Europe, Securitize operates through its affiliate Securitize Europe Brokerage and Markets, authorized as an Investment Firm under the EU DLT Pilot Regime, making it the only company licensed to operate regulated digital securities infrastructure across both the U.S. and EU. The client list is not speculative. The company has relationships with BlackRock, Apollo Asset Management, KKR, Hamilton Lane, and VanEck. One of its highest profile products is BlackRock’s BUIDL Fund, the world’s largest tokenized U.S. Treasury fund, which has accumulated more than $2.8 billion in assets. The NYSE relationship runs deeper still. Securitize has signed a memorandum of understanding with NYSE to serve as digital transfer agent for a new 24/7 tokenized stock and ETF trading platform using on chain settlement and stablecoin funding. The company trades at roughly $7 per share against an approximately $1.1 billion market cap, and is classified as a small cap with around 163 million shares outstanding.

The revenue growth rate is not incremental. Total revenue in Q1 2026 was $19.5 million, up 39% versus the prior year period, the highest quarterly revenue in the company’s history. Full year 2025 revenue reached $62.2 million against $18.6 million in 2024, per the S-4/A filing with the SEC, a year over year increase of more than 230%. From Q1 2023 to Q3 2025, tokenized assets under management grew from approximately $200 million to approximately $4.6 billion, a compound annual growth rate of approximately 350%. The gross margin profile is compelling: gross profit of $48.7 million on $62.2 million of 2025 revenue implies a gross margin above 78%, per the same filing. The operating loss was $14.5 million on a full year basis in 2025, and quarterly operating cash burn ran approximately $9.1 million in Q1 2026. The SPAC close on June 30 brought approximately $400 million in gross proceeds from low redemptions. According to 2 industry analysts covering Securitize, the consensus is that breakeven is near, with analysts expecting a final loss in 2026 before turning a profit of $41 million in 2027.
The catalyst is August 13 and the setup is thin coverage at a post SPAC low. Citigroup assumed coverage on July 27, 2026, setting a buy rating and a $10 price target. Rosenblatt Securities began coverage on July 15, setting a buy rating and a $14 price target. Two analysts, both buy rated, a consensus target of $12, and a stock trading around $7. I think the market is wrong on timing here. The Q2 print will be the first earnings call that management actually hosts, something they explicitly skipped for Q1 because the SPAC was pending. Consensus expects Q2 revenue of approximately $20.9 million. The BUIDL fund crossed $2.87 billion in total assets by mid July 2026, and in May 2026, BlackRock filed with the SEC for two additional tokenized funds alongside on chain shares for a separate $7 billion money market fund. Those filings flow through Securitize infrastructure. The Q2 period almost certainly captured accelerating activity that the Q1 number did not.
The single thing most likely to kill this thesis is the crypto market backdrop. Digital assets posted a third consecutive quarter of losses in Q2 2026, the longest losing streak since the 2022 bear market, as institutional capital rotated into AI equities. Securitize’s revenue is tied to AUM and transaction volume on tokenized assets. If the RWA market stalls or reverses, the 39% revenue growth rate stalls with it. The company also carries a SPAC era structure with a large share count and potential warrant dilution that is not yet fully worked through the float. The burn rate before the $400 million raise was real. Management has the cash now, but this is still a company that must convert that capital into revenue generating products fast enough to justify the valuation before institutional patience runs out.
