Daily Disruptor: $RCAT, The Army’s Drone Supplier Faces Its Most Important Week

What changed

On July 23, 2026, Red Cat Holdings fired its Chief Revenue Officer, Geoffrey Hitchcock, for cause. The board terminated Hitchcock for cause, and he responded by filing a civil lawsuit alleging retaliatory termination, breach of contract, and related claims, which the company denies and plans to contest. The stock has since dropped roughly 26 percent for the month.Shares edged to $8.03 after the disclosure, down roughly 26.5% in July. That is the framing the market has attached to today’s setup. I think it is the wrong one.

Six days from now, on August 6, Red Cat will report its financial results for the second quarter ended June 30, 2026, after the close of U.S. markets. Simultaneously, Teal Drones is among 19 companies invited to participate in Gauntlet II of the Drone Dominance Program at Fort Carson, Colorado, in August 2026, following a Phase 2 Qualifier where 49 companies entered. A company going into an earnings print and a competitive Pentagon selection event with the stock at a seven month low because of a personnel dispute is interesting. It is worth understanding why the two catalysts exist at all.

The company

Red Cat is a U.S.-based provider of advanced all domain drone and robotic solutions for defense and national security. Through its wholly owned subsidiaries, Teal Drones and FlightWave Aerospace, Red Cat develops American made hardware and software that support military, government, and public safety operations across air, land, and sea. The flagship product is the Black Widow small unmanned aircraft system, winner of the U.S. Army’s Short Range Reconnaissance Program of Record. The company is also expanding into the maritime domain through Blue Ops, building uncrewed surface vessels designed for multi domain mission effectiveness.

RCAT has a market capitalization of approximately $1.17 billion. It trades on the Nasdaq. One detail from the 10-Q that most headlines skip: alongside the Q1 results, Red Cat announced the acquisitions of Apium Swarm Robotics and the planned acquisition of Quaze Technologies pending Investment Canada Act clearance. The Quaze acquisition gives Red Cat platform agnostic wireless power transfer for drones and autonomous systems. The company is not just a hardware manufacturer. It is assembling a stack.

The numbers

Q1 2026 total revenue was $15.5 million, representing an increase of 849% from $1.6 million for the prior year quarter. Revenue was driven mainly by scaling drone deliveries to the U.S. Army’s SRR program, and gross margin improved to 13% from a negative 52% as prior year inventory write offs subsided. The direction is unambiguous. The magnitude is less comfortable: operating expenses more than doubled to $29.3 million, leading to an operating loss of $27.3 million. Cash was $131.9 million with working capital of $190.6 million at March 31, 2026, reflecting large 2025 equity raises and a significant inventory build to $50.5 million. The May 2026 offering added more: Red Cat priced an underwritten public offering at $9.40 per share, selling 23,936,171 shares for gross proceeds of approximately $225 million.

For the forward picture: after the Q1 results, three analysts covering Red Cat Holdings are now predicting revenues of $160.9 million in 2026. Management guidance targets $150 to $180 million in annual revenue and 30% gross margin. Eleven analysts cover RCAT, with a buy percentage consensus of 84%. According to six analysts polled by S&P Global, the consensus rating is Strong Buy and the average price target is $22, with a range from $20 to $25. The gap between the consensus target and the current price around $8 is large. I think the market is wrong on the timing here, not the direction.

Why now

Two catalysts arrive before August 18. First, the Q2 earnings print on August 6 will show whether the 849% revenue growth in Q1 is repeating or whether back end loading is real. The next earnings revenue estimate has been revised downward roughly 20% over the past three months, which sets a lower bar. Second, the Gauntlet II selection at Fort Carson this month is not a contract but it is not nothing either. Red Cat, through Teal Drones, was selected as one of 12 finalists in the Pentagon’s $1.1 billion Drone Dominance Program and is positioned to receive part of an initial $150 million allocation tied to production of 30,000 attack drones. A Gauntlet II win funnels directly into that allocation.

On positioning: the latest short interest is 32.50 million shares, representing 21.35% of shares outstanding sold short. The share count has increased by nearly 35% in one year, so the shorts have a dilution narrative to lean on. That is also fuel for the other direction if Q2 numbers show margin progress. Institutional investors added shares in 184 instances versus 104 decreasing in the most recent quarter. The accumulation side has the edge, even if the price does not show it yet.

What breaks it

The balance sheet is not clean. The current gross margin is just 7.5% on $54.6 million in trailing twelve month revenue, and competitive pressures from AeroVironment, Anduril, and Skydio challenge RCAT’s ability to scale profitably and achieve pricing power. Management guided to 30% gross margins but has not delivered them yet. A Q2 print that shows gross margin stagnating below 15% would confirm the bear case. The CRO lawsuit carries an independent risk: the board’s decision to withhold severance and equity vesting on a for cause basis raises questions about governance, leadership stability, and potential legal overhang. Shareholders already rejected the company’s advisory vote on executive compensation at the annual meeting. That is a pattern worth watching. And shares outstanding increased nearly 35% in one year through repeated equity raises. If gross margin does not accelerate toward the 30% target in the next two quarters, the dilution math becomes oppressive.

The setup

Red Cat Holdings sits at $7.38, well below both its 50 day average and its 200 day average, with the 50 day itself trading below the 200 day. That alignment describes a stock in a confirmed downtrend across multiple timeframes. At 11% of its 52 week range and 57.5% off its 52 week high, the stock has already absorbed enormous damage. The 14 period RSI at 38 is weak but not at an extreme floor. Volume over the past 10 days has been running at 0.57 times the 50 day average, meaning selling has not been accompanied by a surge of participation, though the average true range of 8.5% of price signals the stock remains volatile day to day. Against the market, RCAT has lost 40.2 points of relative strength over the past three months, a significant underperformance that confirms the trend is working against any bullish thesis right now.

The historical base rate drawn from 161 prior days when RCAT sat in a comparable technical position is not encouraging, though it carries genuine uncertainty. The median one month outcome in those periods was minus 2.7% and the median three month outcome was minus 4.8%. The stock was higher one month later only 41% of the time and three months later 43% of the time. The quarterly range of outcomes ran from minus 52.2% to plus 127.3%, which means the distribution is wide enough that the median tells only part of the story. The sample covers 161 days on a single ticker, so while the size is not trivial, this is still one stock and one history. It describes what happened before. It is not a forecast, and it should not be treated as one.
